1.Introduction

Welcome to N1 Healthcare. These Terms and Conditions ("Terms") govern your access to and use of the N1 Healthcare website, services, and technology platform (collectively, the "Service"). By registering with or using the Service, you confirm that you are a licensed healthcare professional and agree to be legally bound by these Terms. If you do not accept or agree to these Terms in full, you may not use the Service.

N1 Healthcare is a software platform designed to assist clinicians with the aggregation, structuring, and interpretation of patient health data. The platform offers tools for organizing medical records, suggesting preliminary analyses, and generating draft reports based on uploaded content. These tools include the use of artificial intelligence (AI), including large language models (LLMs), to generate draft summaries and highlight patterns in medical data. However, the system is strictly intended for use by licensed medical professionals, and any content generated by the system is presented solely as a draft for review.

This platform does not diagnose, treat, or prevent any disease and is not a substitute for clinical judgment. All final decisions regarding diagnoses, treatments, and communications with patients must be made solely by the responsible licensed clinician using their independent professional judgment.

N1 Healthcare is not classified or intended as a Software as a Medical Device (SaMD) under any regulatory framework. Its purpose is to serve as a documentation and drafting tool to assist, not direct, licensed clinicians. All outputs must be carefully reviewed, edited, and approved by a clinician prior to any clinical use or patient communication.

2.Eligibility

2.1 Professional Use Only
The N1 Healthcare platform is strictly intended for use by licensed and accredited healthcare professionals, including but not limited to physicians, functional medicine practitioners, and other clinically authorized users. By accessing or using the Service, you represent and warrant that you possess the legal right and authority to practice medicine or provide healthcare services in the jurisdiction where you are located.

2.2 Verification of Credentials
You may be required to submit proof of licensure, registration, or other official documentation to verify your eligibility prior to account activation. N1 Healthcare reserves the right to review, approve, or deny access at its sole discretion and may suspend or revoke access if eligibility requirements are no longer met.

2.3 Intended Use Limitation
The platform is designed solely as a clinician-facing support tool. It is not a diagnostic engine, treatment recommender, or autonomous clinical decision-maker. Use of the platform in any way that contradicts this intended use may result in immediate suspension or termination of access and may expose the user to regulatory or professional liability.

3.Use of the Platform

3.1 Overview of Platform Functions
The N1 Healthcare platform provides tools for licensed clinicians to organize, structure, and analyze patient medical data. Functionality includes AI-assisted extraction of information from uploaded records, automated generation of draft health summaries, biomarker tables, diagnosis lists, and customizable client health reports (CHRs). All outputs are presented as editable drafts requiring physician review.

3.2 Professional Judgment Required
AI-generated content may contain errors, omissions, outdated interpretations, or hallucinated information. The platform is not capable of validating clinical accuracy, contextual appropriateness, or compliance with regional medical standards. Clinicians must carefully review, edit, and validate all outputs before using them in clinical decisions or sharing them with patients. Under no circumstances should AI-generated suggestions be used in isolation to determine a diagnosis, prescribe treatment, or deliver medical advice.

3.3 Limitations of AI and Draft Content
The AI system may:
- Misinterpret uploaded data due to formatting or content limitations
- Suggest incorrect or clinically unsafe summaries
- Provide output inconsistent with current medical best practices
- Fail to detect nuances in rare, complex, or overlapping conditions

All outputs are to be treated as informational drafts only. They are not a substitute for licensed medical expertise.

3.4 Restrictions on Use
You agree not to:
- Use the Service to provide unsupervised advice to patients
- Rely on the system as a diagnostic tool
- Share AI-generated drafts with patients prior to full physician approval
- Circumvent edit or sign-off requirements

4.Clinical Responsibility

4.1 AI is a Drafting Aid, Not a Clinical Authority
N1 Healthcare uses artificial intelligence, including large language models (LLMs), to assist with the organization, summarization, and drafting of clinical reports. These outputs are generated based on uploaded documents and may include extractions of lab values, diagnosis suggestions, commentary on biomarkers, or genetic summaries. Such outputs are intended strictly as **first drafts** and must never be used as-is in clinical contexts.

4.2 Known Risks of AI-Generated Content
AI-generated outputs carry several well-documented risks, including:
- **Hallucinations**: Fabricated facts, values, or claims not present in the source documents
- **Omission of Critical Information**: Failure to identify or prioritize clinically significant data
- **Overgeneralization**: Application of population-level heuristics to individual patients
- **Misinterpretation**: Inaccurate conclusions from raw or contextual data
- **Stale Knowledge**: The AI may be unaware of recent clinical guidelines or research

These risks make it unsafe and professionally irresponsible to rely solely on the AI's outputs for patient care.

4.3 Clinician Review Required
All outputs generated by N1 Healthcare must be **manually reviewed, edited, and approved** by the licensed healthcare professional responsible for the patient before any clinical action or communication occurs. This includes but is not limited to:
- Client Health Reports (CHRs)
- Diagnoses
- Biomarker interpretations
- Supplement or lifestyle recommendations

4.4 Final Responsibility Rests with the Clinician
You acknowledge and accept that you, as a licensed clinician, are solely responsible for all content you approve or share with a patient, regardless of whether it was originally AI-generated. N1 Healthcare disclaims any and all liability for clinical consequences arising from misuse, misinterpretation, or overreliance on AI content.

4.5 Regulatory Alignment
You agree to:
- Treat all outputs as non-final, editable drafts
- Apply your own medical expertise and discretion to every report
- Avoid using the system as a standalone diagnostic or treatment engine
- Ensure that AI outputs are not transmitted to patients without prior human sign-off

Use of the system in a way that violates these principles may result in immediate suspension of access.

5.Patient Data and Privacy

5.1 Data Stewardship and Responsibility
As a clinician, you are responsible for ensuring that any patient data uploaded to the N1 Healthcare platform is done in accordance with applicable privacy, consent, and data protection laws. You must ensure that you have received appropriate patient consent prior to uploading their personal health information.

5.2 Data Ownership
You retain ownership of all medical records, diagnostic data, and related documents you upload to the platform. N1 Healthcare does not claim ownership of your patient data.

5.3 Platform Access and Confidentiality
Patient information uploaded to the platform is encrypted both at rest and in transit. Access is restricted to your account and authorized members of your clinical team. N1 Healthcare does not access or use your data for any purpose other than providing the requested services unless explicitly authorized by you in writing.

5.4 Data Hosting and Security
We employ industry-standard security protocols to safeguard data, including:
- AES-256 encryption
- Role-based access control
- Activity logging and access monitoring
- Regular security audits and penetration testing

However, no digital platform can guarantee absolute security. You acknowledge that while we take reasonable measures, data breaches or unauthorized access due to factors outside our control (e.g. malware, third-party compromise) may occur.

5.5 Compliance With Local Regulations
You agree to comply with all applicable health information privacy regulations in your jurisdiction. N1 Healthcare does not assume responsibility for your legal obligations as a data controller or healthcare provider.

5.6 Retention and Deletion
You may delete patient data at any time. Upon account closure, N1 Healthcare will retain records only as required by law or for audit compliance purposes, after which data will be securely deleted.

6.Intellectual Property

6.1 Platform Ownership
All content, technology, designs, source code, models, user interfaces, databases, and infrastructure related to the N1 Healthcare platform are the exclusive intellectual property of N1 Healthcare or its licensors. This includes, without limitation, any proprietary AI models, report templates, workflows, and user-facing features developed by the company.

6.2 License to Use
Subject to your continued compliance with these Terms, N1 Healthcare grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your own clinical and professional activities. No ownership is transferred to you through your use of the platform.

6.3 Restrictions
You may not:
- Copy, reverse engineer, decompile, or attempt to discover the source code or architecture of the platform
- Sell, resell, license, sublicense, distribute, or commercially exploit the platform or any part of it
- Create derivative works from the platform or any associated intellectual property
- Use the platform for competitive benchmarking or to build a competing service

6.4 Use of Generated Reports
Any report or draft generated by the platform based on your uploaded data is for your use in clinical decision-making and patient communication. You are free to edit, export, and share these reports in accordance with applicable healthcare regulations. However, the structure, formatting, and language templates used in generating these reports remain the intellectual property of N1 Healthcare.

6.5 Feedback and Suggestions
If you choose to submit comments, feedback, ideas, or suggestions regarding the platform, you grant N1 Healthcare a worldwide, perpetual, royalty-free license to use and incorporate such feedback into the platform without restriction or compensation.

6.6 Trademarks
The N1 Healthcare name, logo, and any associated product or service names, marks, or slogans are trademarks owned by N1 Healthcare. You may not use these without prior written permission, except as permitted by applicable law.

7.Account Management

7.1 Account Creation
To access the platform, you must create an account and provide accurate, complete, and current registration information, including verification of your healthcare licensure. You agree to update your information as necessary to keep it accurate and complete.

7.2 Security and Confidentiality
You are solely responsible for maintaining the confidentiality and security of your login credentials. You must not share your password or allow others to access your account. You agree to notify N1 Healthcare immediately if you suspect unauthorized use or a security breach.

7.3 Responsibility for Account Activity
You are responsible for all activity that occurs under your account, including actions taken by individuals using your credentials or who have been granted access through your organization. This includes data uploads, AI generation, report finalization, and patient communications.

7.4 Team Access and Delegation
If you grant access to support staff or collaborators, you are responsible for ensuring they operate under your direct supervision and in compliance with these Terms. Only licensed users may finalize reports and interact with AI-generated clinical content.

7.5 Misuse and Suspension
N1 Healthcare reserves the right to suspend or terminate accounts if they are used in a manner inconsistent with:
- These Terms and Conditions
- The intended purpose of the platform
- Local legal or regulatory standards

7.6 Multi-Patient Management
The platform provides tools for managing multiple patients under a single account. You must ensure that each patient’s data is kept distinct, accurately labeled, and handled in accordance with applicable laws and professional standards.

7.7 Account Termination
You may terminate your account at any time by contacting support. Upon termination, your access to the platform and any stored data may be removed in accordance with Section 5 (Data Retention and Deletion).

8.Disclaimers and Limitations of Liability

8.1 Platform Provided 'As-Is'
N1 Healthcare provides the platform and all associated tools, content, and AI functionality on an "as-is" and "as-available" basis. We make no guarantees as to accuracy, reliability, clinical completeness, or fitness for any particular purpose.

8.2 No Clinical Warranties
We do not represent or warrant that:
- AI-generated outputs will be clinically accurate or up to date
- The platform is suitable for diagnosing, treating, or managing any condition
- The information presented will comply with all regional, national, or global clinical standards

The outputs from our platform are to be interpreted and applied solely at the discretion of a qualified healthcare professional. N1 Healthcare assumes no responsibility for clinical outcomes derived from use of the system.

8.3 Limitation of Liability
To the fullest extent permitted by applicable law, N1 Healthcare and its directors, employees, contractors, partners, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, goodwill, or other intangible losses resulting from:
- Your use or inability to use the platform
- Any content obtained through the platform
- Unauthorized access, use, or alteration of your transmissions or content
- Misinterpretation of AI-generated reports or summaries

8.4 User Indemnification
You agree to indemnify and hold harmless N1 Healthcare, its affiliates, officers, directors, employees, and agents from any claim, demand, liability, or expense (including legal fees) arising from your use of the platform, your violation of these Terms, or any clinical decisions made based on content from the platform.

8.5 AI Limitations Reiterated
You expressly acknowledge that all AI-generated outputs are drafts, subject to error, and intended only as tools for clinician review and customization. You accept full responsibility for verifying all outputs prior to use in any clinical context.

9.Termination

9.1 Termination by You
You may terminate your account at any time by contacting N1 Healthcare support. Upon confirmation of termination, your access to the platform will be disabled, and your uploaded data and associated content will be handled in accordance with our Data Retention Policy (see Section 5).

9.2 Termination by N1 Healthcare
We may suspend or terminate your account, without prior notice, if we determine in our sole discretion that you have:
- Violated these Terms or applicable laws
- Misused or abused the platform, particularly its AI functionalities
- Shared unapproved content with patients or the public
- Failed to maintain professional licensure or submitted fraudulent credentials

9.3 Consequences of Termination
Upon termination:
- Your access to the platform will be revoked
- You must cease all use of the platform and any related services
- We may delete your account and all associated data unless we are required to retain it under applicable law
- You remain liable for any obligations or breaches that occurred prior to termination

9.4 Suspension
N1 Healthcare reserves the right to suspend your access temporarily without full termination in order to investigate suspected breaches or misuses. During suspension, you may not access reports, upload data, or interact with the platform in any way.

9.5 No Liability for Termination
N1 Healthcare shall not be liable to you or any third party for any modification, suspension, or termination of your access to the platform or any loss of associated data resulting from such actions, provided we act in good faith and in accordance with these Terms.

10.Changes to Terms

10.1 Right to Modify
N1 Healthcare reserves the right to amend, update, or revise these Terms at any time. Any material modifications that affect your rights or responsibilities will be communicated to you via email or through platform notifications.

10.2 Continued Use Constitutes Acceptance
Your continued access to or use of the platform after any such changes become effective constitutes your acceptance of the new Terms. If you do not agree to the amended Terms, you must discontinue your use of the Service and may request account closure.

10.3 Scope of Updates
Changes may include—but are not limited to—modifications in platform functionality, clinician workflows, data handling practices, AI system capabilities or disclaimers, legal disclaimers, and regulatory compliance requirements.

10.4 Obligation to Stay Informed
It is your responsibility to review the Terms periodically for changes. You may contact N1 Healthcare support with any questions or concerns regarding updated Terms.

11.Governing Law

11.1 Jurisdiction
These Terms and any disputes or claims arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the jurisdiction in which N1 Healthcare is legally incorporated, without regard to conflict of law principles.

11.2 Forum for Dispute Resolution
You agree that any legal suit, action, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the competent courts located within the jurisdiction of incorporation of N1 Healthcare. You waive any objections to venue or jurisdiction in such courts.

11.3 International Use
If you access or use the platform from a jurisdiction outside of our country of incorporation, you do so on your own initiative and are responsible for compliance with all applicable local laws and regulations, including but not limited to data privacy, healthcare practice standards, and clinical documentation rules.

11.4 Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
